Extending a CMBS loan: the 120-day window, the limits, and who signs off
A CMBS servicer can extend a maturity, within limits. In BANK5 2025-5YR14, the master servicer may allow up to 120 days past maturity if you delivered a signed refinancing commitment or sale contract by the maturity date. Anything longer goes through the special servicer, needs the controlling bondholder’s consent while it holds control, and cannot run past April 2053.
The terms here are from the pooling and servicing agreement (PSA) of BANK5 2025-5YR14, the reference deal on this site. Older conduit deals have different dates and sometimes different windows. Your trust’s agreement governs.
Two different extensions
| Short extension or forbearance | Modification extension | |
|---|---|---|
| Who grants it | Master servicer | Special servicer |
| How long | Up to 120 days after maturity | Negotiated, within the PSA’s outer limits |
| What you need | A refinancing commitment or sale contract, delivered on or before maturity, providing for closing within 120 days | A case that the extension recovers more, in present value, than the alternatives |
| Controlling bondholder | Not a Major Decision | Major Decision: it can object within 10 business days while it holds control |

The short extension is the one most owners need: the refinance is signed but has not closed. The paperwork has to exist by the maturity date. A term sheet is not a commitment, and the loan transfers at once if the deal misses its own closing date or the master servicer has to advance a payment in the meantime (PSA 1.01, “Servicing Transfer Event” (i)). Close within 120 days and, in this agreement, the special servicer takes no liquidation or workout fee on the balloon. Details on missed maturity.
The outer limits on a longer extension
The PSA bars any extension, modification, waiver or forbearance that would push the maturity past the earlier of:
- five years before the Rated Final Distribution Date. In BANK5 2025-5YR14 that date is the distribution date in April 2058, so no maturity later than April 2053;
- for a loan secured by a ground lease and not the fee, 20 years before the ground lease ends, or 10 years if the servicing standard allows it given the lease term and, before a Control Termination Event, the Directing Certificateholder consents.
It also cannot defer interest unless the deferred interest keeps accruing at the mortgage rate (PSA 3.18(b)). Every modification has to be in writing, signed by the servicer and the borrower, and by the guarantor if the servicer requires it (PSA 3.18(f)).
The tax rule behind every extension
A CMBS trust is a REMIC, and a “significant modification” of a loan it holds is treated as a swap for a new loan, which the trust may not make. Extending maturity changes the timing of payments, and 26 CFR 1.1001-3(e)(3) treats a material deferral as significant, with a safe harbor for deferrals within the lesser of five years or 50% of the original term.
Two exceptions do most of the work for troubled loans. Changes “occasioned by default or a reasonably foreseeable default” are not significant modifications at all (26 CFR 1.860G-2(b)(3)(i)). And Rev. Proc. 2009-45 lets a servicer modify a performing loan when it reasonably believes there is a significant risk of default at or before maturity and the change substantially reduces it. For a loan that is not in default and where default is not reasonably foreseeable, an extension of more than 12 months also needs a legal opinion that it is not a significant modification, paid by the borrower where the loan documents allow (PSA 3.18(a)). More on what a servicer can modify.
What an extension usually asks of you
The PSA sets limits, not terms; the terms are negotiated. Servicers commonly ask for some combination of a principal paydown, new reserves, a cash sweep, an extension fee, updated financials and a clear path to a refinance or sale. Because the special servicer has to show the extension beats liquidation on a present-value basis (PSA 3.18(b)), your request is stronger with:
- a lender’s term sheet or a broker’s opinion of value that shows the refinance or sale is real, and how much time it needs;
- a current rent roll, trailing twelve months and budget;
- an explanation of the paydown or new equity you can offer, if any;
- a written account of why the loan cannot be repaid at maturity. Rev. Proc. 2009-45 allows the servicer to rely on credible written statements from you.
What it costs
On a specially serviced loan, fees for modifications, waivers and extensions go 100% to the special servicer (PSA 3.11(c)). The special servicing fee keeps running while it holds the loan. If the loan then makes three on-time payments and returns as a Corrected Loan, the special servicer earns a 1% workout fee on every later collection of principal and interest, including the balloon, with a $25,000 minimum. The agreement softens one overlap: modification fees paid in the prior 12 months reduce a later liquidation fee (PSA 1.01, “Liquidation Fee”). Estimate it with the special servicing fee calculator.
Extension or refinance?
An extension buys time; it does not retire the loan, and the workout fee follows it to the end. If a lender will refinance the balance now, or with a modest paydown, compare that against the extension before you sign. Get a CMBS quote for a takeout, read when a CMBS loan is maturing, or bring the situation to the troubled loan desk if the numbers do not reach the balance.
When to call a lawyer
An extension agreement often comes with acknowledgments of the amount owed, waivers of defenses and conditions on your guaranty. Have a real estate lawyer read it before you sign. This page is not legal or tax advice.

Questions people ask
Can a CMBS loan be extended before it is in default?
Yes, within tax limits. A change to a performing loan has to avoid being a significant modification under the REMIC rules, or fit Rev. Proc. 2009-45, which allows a modification when the servicer reasonably believes there is a significant risk of default at or before maturity. In BANK5 2025-5YR14, extending a performing loan by more than 12 months also needs a tax opinion.
How long can a CMBS maturity extension be?
There is no fixed term in the agreement, only an outer limit. In BANK5 2025-5YR14 no extension may run past five years before the trust's rated final distribution date in April 2058, so April 2053, and leasehold loans must end well before the ground lease does. Real extensions are sized to the time a refinance or sale actually needs.
Does asking for an extension send my loan to special servicing?
Asking is not itself a transfer event. But an extension beyond 120 days is a Major Decision, which the special servicer processes even while the master servicer services the loan, and a request that shows a maturity default is likely can lead the servicer to transfer the loan under the imminent-default trigger. A short extension of up to 120 days, backed by a signed refinancing commitment or sale contract delivered by maturity, is one the master servicer can grant itself.
What does a CMBS extension cost?
The fee is negotiated and set in the extension agreement. In BANK5 2025-5YR14 fees for modifications and extensions of a specially serviced loan go to the special servicer, and once the loan returns to the master servicer the special servicer also earns a 1% workout fee on later payments, including the balloon.
